1. Service Description

Welcome to panrack.info, a software-as-a-service (SaaS) platform operated by Panrack. Our services include a suite of tools designed to enhance productivity and streamline operations for businesses of all sizes. By accessing or using our services, you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, you must not use our services.

Panrack reserves the right to modify, suspend, or discontinue any aspect of the services at any time without prior notice. We will make reasonable efforts to notify users of significant changes, but it is your responsibility to review these Terms periodically for updates. Your continued use of the services after any changes constitutes your acceptance of the new terms.

Our services are intended for users who are at least 18 years old. By using our services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. User Accounts

To access certain features of our services, you may be required to create a user account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Panrack immediately of any unauthorized use of your account or any other breach of security. Panrack will not be liable for any loss or damage arising from your failure to comply with this obligation.

We reserve the right to suspend or terminate your account at our sole discretion if we suspect any unauthorized use or if you violate these Terms. Upon termination, your right to use the services will immediately cease, and you must cease all use of the services.

3. Acceptable Use Policy

You agree to use the services only for lawful purposes and in accordance with these Terms. You agree not to use the services:

  • In any way that violates any applicable federal, state, local, or international law or regulation.
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate Panrack, a panrack.info employee, another user, or any other person or entity.

Any violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to the services, at our sole discretion, without prior notice.

4. Prohibited Activities

In addition to the Acceptable Use Policy, you are prohibited from:

  • Using the services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the services.
  • Using any robot, spider, or other automatic devices, process, or means to access the services for any purpose, including monitoring or copying any of the material on the services.
  • Using any manual process to monitor or copy any of the material on the services or for any other unauthorized purpose without our prior written consent.
  • Introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

Any violation of these prohibited activities may result in legal action and/or termination of your account.

5. Content Ownership

All content, features, and functionality on the services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, and software, are the exclusive property of Panrack or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the services for your personal or internal business use. This license does not include any resale or commercial use of the services or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the services or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.

All rights not expressly granted to you in these Terms are reserved by Panrack. Any unauthorized use of the services or its content may violate copyright, trademark, and other laws.

6. User-Generated Content

Users may have the opportunity to submit, post, or otherwise transmit content through the services ("User-Generated Content"). You retain ownership of any intellectual property rights that you hold in your User-Generated Content. However, by submitting User-Generated Content, you grant Panrack a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

You represent and warrant that you own or have the necessary rights to use and authorize Panrack to use your User-Generated Content as described in these Terms. You agree that your User-Generated Content will not violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights.

Panrack reserves the right to remove or edit any User-Generated Content at our sole discretion, without notice, for any reason, including if we believe that such content violates these Terms or is otherwise objectionable.

7. Payment Terms

Access to certain features of the services may require payment of fees. You agree to pay all fees associated with your use of the services in accordance with the pricing plan you select. All fees are non-refundable, except as required by law.

Panrack reserves the right to change its pricing at any time. Any changes will be effective immediately upon posting on the services, and your continued use of the services after such changes constitutes your acceptance of the new pricing. You are responsible for ensuring that your payment information is accurate and up to date.

In the event of a payment dispute, you must contact us within 30 days of the charge. Failure to do so will result in your waiver of any claims related to the disputed charge.

8. Service Modifications

Panrack reserves the right to modify or discontinue, temporarily or permanently, the services (or any part thereof) with or without notice. You agree that Panrack will not be liable to you or to any third party for any modification, suspension, or discontinuance of the services.

We may also impose limits on certain features and services or restrict your access to parts or all of the services without notice or liability. You acknowledge that we may need to perform maintenance on the services, which may result in temporary interruptions.

We will make reasonable efforts to notify you of any significant changes to the services, but it is your responsibility to review these Terms and any updates regularly.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Panrack, its affiliates, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of, or inability to access or use, the services;
  • Any conduct or content of any third party on the services;
  • Any content obtained from the services; and
  • Unauthorized access, use, or alteration of your transmissions or content.

In no event shall Panrack’s total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the services during the twelve (12) months preceding the claim.

10. Termination

These Terms are effective until terminated by either you or Panrack. You may terminate these Terms at any time by discontinuing your use of the services and deleting your account. Panrack may terminate these Terms and your access to the services at any time, without notice, for any reason, including if we believe that you have violated these Terms.

Upon termination, your right to use the services will immediately cease, and you must cease all use of the services. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Termination of these Terms does not affect any rights or obligations that have accrued prior to the date of termination.
